IDC and Internet Site Terms
You are bound by the I-Match Database Center (IDC)/ Internet Site Agreement terms.
Internet Site Access and Use Agreement
This Access and Use Agreement ("Agreement") between IMG Prep ("we or us") and the client ("you or your") governs the access and use of the "I-Match Database Center" (IDC) and features relating to your account through the Web site on the Internet.
PLEASE READ THIS AGREEMENT CAREFULLY. You agree that you have received adequate notice and disclosure of the operations of the IDC service and you agree and consent to the delivery and receipt of your personal information through this service, including through the Internet.
1. User Name, and Password
Your "User Name," and "Password" are important means to protect your account information in the IDC. It is your responsibility to maintain the confidentiality of your user name and password. You are responsible for preventing unauthorized access to your account information after logging into the site. This responsibility includes any action affecting or unauthorized use of your account information, including when you leave your workstation without securing your account information or you fail to log out at the end of a session. You are responsible for any actions taken with your User Name, and password, whether initiated by you or by someone else using your User Name, and password. You agree to contact us at the phone number shown on the Web site immediately if you suspect that someone has unauthorized access to your account. The use and storage of any information, including your name, password, personal information, and any other information available on your personal computer, is your sole risk and responsibility. You are responsible for providing and maintaining the communications or computer equipment required for accessing and using our services and for all communications service fees and charges incurred by you in accessing the service. We can cancel, modify or restrict access to the IDC system without notice if we believe that your User Name, or password has been lost or stolen, if we get a notice of possible unauthorized use of your User Name, or password, or where necessary to maintain or restore the security of your accounts. We may terminate your access to account information on the IDC if we believe that your User Name or password has been given intentionally to an unauthorized user. An unauthorized user is anyone that is not a client of IMG Prep, and has not received explicit authorization from IMG Prep to be allowed to access the system.
Any uploading of information or documents into the IDC entered using your User Name, and password may be considered valid by us and will be eligible for posting, and you are authorizing us to modify, approve, and post the information. If any third party uses your User Name, or password or to use our services, including your account, you will defend, hold harmless and indemnify us against any liability, costs or damages arising out of claims or suits by such third parties based on or relating to such access or use. If you believe someone has used your User Name, or password without your authorization, you should notify us immediately. You are responsible for any information posted or deleted in your profile, intended or unintended by you. You agree to call the phone number listed on the Web page immediately if you do not believe that the information posted into your account is completely accurate and truthful. The last document submitted, will override any previous documents submitted into the IDC. Your information is updated as it is uploaded.
3. Information about Using the Site
Instructions for using this Web site and accessing your profile information or using the IDC are provided online at this Web site.
4. Backup Procedures
If the Web site or IDC system is down, information may be delivered to us through the alternative means discussed below. Based upon the time such information is received by us, it will process the transaction as soon as feasibly possible unless it is a time of significant communication disruption and then it will be completed on a best efforts basis. Participants must contact us by telephone during business hours to confirm receipt of instructions sent by alternative means.
5. Change of Terms
We may change the terms of this Agreement, in whole or in part, without notice, or upon notice in writing or through electronic media. Any use of our services following any such changes or modification to this Agreement shall be deemed an acceptance you to the terms of this Agreement and any such changes or modifications.
You understand and agree that we do not guarantee your placement into a Residency program, but rather that thru the use of the IDC you are maximizing your potential and in our estimation significantly increasing your likelihood of obtaining a Residency position by professionalizing and streamlining your application process, relying on consulting experts that will assist you in making the most of your qualifications and presenting them in the best possible light to Residency Programs.
7. Market Data Not Guaranteed
You agree that we shall not be liable for any errors or delays in the content of any information provided through this site, or for any actions taken by you or any third party in reliance thereon. This Web site has been compiled from both internal and external sources. Information available from or through this Web site has been obtained from sources considered reliable, but such information is not guaranteed, and we make no representation or warranty as to the accuracy or completeness, merchantability, or continued availability of this information. Such information is inherently subject to change without notice and may become dated. We promise to maintain the website, giving it our "best efforts" however if necessary you should verify any information obtained from this service before you act upon it.
8. General Provisions
We shall not be liable in any manner for failure or delay in providing your profile information due to any causes or circumstances beyond our reasonable control, including, but not limited to, holidays, market disruptions, systems maintenance or acts of God. If any provision or a portion of a provision of this Agreement is determined to be invalid or unenforceable, it shall be deemed omitted and the remaining provisions of this Agreement shall remain in full force and effect. This Agreement is governed by and construed in accordance with the laws of the State of New York.
9. Dispute Resolution
All disputes arising out of or in connection with the present internet site or the "IDC" shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator appointed in accordance with the said Rules of Arbitration. The law governing any dispute arising out of or in connection with the present contract are the laws of the State of New York. The place of Arbitration in connection with all disputes arising out of or in connection with the present contract shall be Washington, D.C.. The language of any arbitration arising out of or in connection with the present contract shall be English.

Under no circumstances shall we be responsible or liable for any direct, indirect, incidental, special, punitive or consequential damages that result in any way from your use of or inability to use the Web site or IDC system, the information provided through us or to access the Internet or IDC system or any part thereof.
